Terms of Service
This Dossia Terms of Service (“Agreement”) is entered into by and between Dossia Limited (“Dossia”, “we”, “us”, or “our”) and the entity or person accessing or using the Services (“Customer”, “you”, or “your”). This Agreement consists of the terms and conditions set forth below. The “Effective Date” of this Agreement is the date of your initial access to or use of the Services. This Agreement governs your use of the Services and any purchases you make through the Services.
Dossia Limited is a company registered in England and Wales at Suite 5, 5th Floor Greenwich View Place, London, England, E14 9NN.
BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THIS AGREEMENT, YOU MAY NOT ACCESS OR USE THE SERVICES.
1. Definitions
1.1 “Books” means the custom notebooks, planners, diaries, or other stationery products that can be designed and ordered through the Services.
1.2 “Content” means text, graphics, designs, layouts, templates, fonts, images, photographs, and other materials created, uploaded, or used by you within the Services.
1.3 “Documentation” means the technical materials, help guides, and user instructions made available by Dossia describing the use and operation of the Services.
1.4 “Editor” means the web-based design tools and interface provided as part of the Services for creating and customizing Books.
1.5 “Order” means a purchase request submitted by you through the Services for the manufacture and delivery of a physical Book.
1.6 “Services” means Dossia’s web-based platform, including the Editor, design tools, e-commerce functionality, and related services for creating, customizing, and ordering custom stationery products.
1.7 “Templates” means pre-designed layouts, page designs, and other design elements made available within the Services, which may be created by Dossia or third parties.
1.8 “User” means you, the individual or entity accessing and using the Services.
2. Service Description
2.1 Platform Services. Dossia provides a web-based platform that enables you to:
- Design custom Books using the Editor
- Create and customize layouts, pages, and design elements
- Preview your designs
- Place Orders for physical production and delivery of Books
- Manage your account and order history
2.2 Physical Products. The Services include the manufacture and fulfillment of physical Books based on your designs. When you place an Order, Dossia will produce and ship the physical Book to the address you provide.
2.3 Beta Status. The Services are currently in beta. Features, functionality, and pricing may change as we continue to develop and improve the platform. We will provide notice of material changes.
3. User Accounts and Registration
3.1 Account Creation. To use the Services, you must create an account by providing accurate and complete information, including your name, email address, and password.
3.2 Account Requirements. You must:
- Be at least 13 years of age to create an account
- If you are a minor, have parental or guardian permission to use the Services
- Provide accurate, current, and complete information
- Maintain and update your information as necessary
- Keep your password confidential and secure
3.3 Account Responsibility. You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.
3.4 Account Restrictions. Each account must be created by and belong to a single individual. Accounts created by bots, automated methods, or for shared team use are not permitted.
4. License and Use Rights
4.1 License Grant. Subject to your compliance with this Agreement, Dossia grants you a personal, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.
4.2 Use Restrictions. You will not:
- Copy, modify, or create derivative works of the Services
- Reverse engineer, decompile, or disassemble any portion of the Services
- Use the Services to build a competitive product or service
- Rent, lease, sell, sublicense, or transfer your access to the Services
- Remove, obscure, or alter any proprietary notices on the Services
- Use the Services for any unlawful purpose or in violation of this Agreement
- Access the Services through automated means (bots, scrapers, etc.) except as permitted
- Attempt to interfere with, disrupt, or damage the Services or servers
- Use the Services in any manner that could damage Dossia’s reputation
- Attempt to gain unauthorized access to any part of the Services
4.3 Availability. We will use commercially reasonable efforts to make the Services available, but we do not guarantee uninterrupted or error-free operation. The Services may be subject to maintenance, updates, and occasional downtime.
5. User Content and Intellectual Property
5.1 Your Ownership. You retain all ownership rights in the Content you create using the Services. Dossia claims no ownership over your designs, text, images, or other Content you create or upload.
5.2 License to Dossia. By using the Services, you grant Dossia:
- A worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your Content solely to:
- Provide the Services to you
- Manufacture and fulfill your Orders
- Generate previews and PDFs of your designs
- Provide customer support
- The right to use your Content in accordance with your instructions, including producing physical Books based on your designs
5.3 Responsibility for Content. You represent and warrant that:
- You own or have the necessary rights to all Content you use in the Services
- Your Content does not infringe any third party’s intellectual property rights
- Your Content does not violate any applicable laws
- You have obtained all necessary permissions and releases for any identifiable persons in your Content
5.4 Dossia’s Intellectual Property. Except for your Content, Dossia and its licensors own all rights, title, and interest in the Services, including all intellectual property rights in the Editor, design tools, software, Templates created by Dossia, logos, trademarks, and Documentation. You acquire no ownership rights in the Services.
5.5 Templates. Templates made available in the Services may be created by Dossia or third parties. Templates created by Dossia are owned by Dossia. Templates created by third parties are owned by their respective creators. You may use Templates in accordance with this Agreement to create your Books. For detailed terms regarding the use of Components, Templates, and other content, please see our Content License Agreement.
5.6 Feedback. If you provide feedback, suggestions, or ideas about the Services, you grant Dossia an unlimited, perpetual, irrevocable license to use such feedback for any purpose without compensation or attribution to you.
6. Prohibited Activities
You agree not to use the Services to create, upload, or distribute Content that:
6.1 Violates Laws or Rights:
- Is illegal or promotes illegal activity
- Infringes intellectual property rights of others
- Violates privacy rights or publicity rights
- Contains confidential information you do not have the right to disclose
6.2 Harmful or Offensive:
- Contains hate speech or promotes discrimination, racism, or bigotry
- Is defamatory, harassing, threatening, or abusive
- Contains adult content, obscenity, or pornography
- Promotes violence or harm to individuals or groups
- Could be harmful to minors
6.3 Deceptive or Fraudulent:
- Is false, misleading, or deceptive
- Impersonates others or misrepresents your affiliation
- Constitutes spam or unsolicited commercial messages
6.4 Technical Violations:
- Contains malware, viruses, or harmful code
- Is designed to interfere with the Services or servers
- Attempts to circumvent security measures
6.5 Platform Integrity:
- Shows Dossia or any person or entity in a disparaging light without permission
- Could damage Dossia’s reputation or business
Dossia reserves the right to refuse production of any Order containing prohibited Content and may suspend or terminate accounts that violate these prohibitions.
7. Orders, Payment, and Pricing
7.1 Placing Orders. To order a physical Book:
- Complete your design in the Editor
- Review your design and specifications
- Provide shipping information
- Submit payment through our checkout process
7.2 Payment Methods. We accept payment via credit card, debit card, and other methods made available through our payment processor, Stripe. By providing payment information, you represent that you are authorized to use the payment method.
7.3 Payment Processing. All payment processing is handled by Stripe. Stripe is the merchant of record for all Orders. For payment inquiries, you may contact Stripe in accordance with their terms of service.
7.4 Pricing. Prices for Books are displayed in British Pounds (GBP) and are subject to change. The price you pay will be the price displayed at the time you place your Order. Prices include VAT where applicable. Shipping costs are calculated and displayed during checkout.
7.5 Payment Terms. Payment is due at the time you place your Order. We will charge your payment method upon Order submission. If payment fails, we may cancel your Order.
7.6 Taxes. You are responsible for any applicable taxes, duties, or customs fees. We will collect VAT where required by law.
8. Manufacturing and Fulfillment
8.1 Production. Upon receipt of your Order and payment, we will manufacture your Book according to your design specifications. Production typically takes 5-10 business days, though times may vary.
8.2 Shipping. After production, we will ship your Book to the address you provided. Shipping times vary by location and shipping method selected. We will provide tracking information when available.
8.3 International Orders. We ship internationally. International shipments may be subject to customs delays, duties, and taxes for which you are responsible.
8.4 Order Changes. Once an Order is submitted and payment is processed, we cannot guarantee the ability to modify or cancel the Order, as production may have already begun.
8.5 Proof Approval. For certain Orders, we may provide a digital proof for your approval before production. If you approve a proof, you accept responsibility for the accuracy of the content and design.
9. Returns and Refunds
9.1 Manufacturing Defects. If your Book arrives with manufacturing defects or damage, please contact us within 14 days of delivery with photos of the issue. We will, at our discretion:
- Reprint and ship a replacement Book at no charge
- Issue a full refund
9.2 Design Errors. We are not responsible for errors in your design, including but not limited to spelling mistakes, incorrect text, improper image resolution, or design flaws. Please carefully review your design before placing an Order.
9.3 Order Cancellation.
- If you cancel an Order before production begins, we will issue a full refund
- Once production has begun, Orders cannot be cancelled
- You may request cancellation by contacting us immediately after placing your Order
9.4 Non-Refundable. Except as described in this section, all sales are final. We do not offer refunds for:
- Change of mind
- Design errors or mistakes in your Content
- Dissatisfaction with your own design choices
- Books that match the design you submitted
9.5 Return Process. To request a return or refund, contact us at hello@dossia.uk with your Order number, description of the issue, and supporting photos if applicable.
10. Product Quality Standards
10.1 Quality Commitment. We are committed to producing high-quality Books. We use quality materials and professional printing methods.
10.2 Design Limitations. The final printed product may vary slightly from the digital preview due to:
- Differences in screen displays and printed colors
- Paper texture and finish
- Normal printing tolerances
- Image resolution and quality
10.3 Inspection. We conduct quality inspections during production. However, minor variations in color, cutting, or binding are normal in print production and do not constitute defects.
11. Third-Party Services
11.1 Service Providers. The Services rely on third-party service providers, including:
- Stripe for payment processing
- Supabase for data storage and authentication
- Mailerlite for email communications
- Cloudflare for hosting and infrastructure
11.2 Third-Party Terms. Your use of third-party services is subject to their respective terms and policies. We are not responsible for third-party services.
11.3 Service Availability. While we select reliable service providers, we cannot guarantee their availability or performance. Disruptions to third-party services may affect the Services.
12. Privacy and Data Protection
12.1 Privacy Policy. Our collection and use of personal information is described in our Privacy Policy, available at https://dossia.uk/privacy-policy. By using the Services, you consent to our data practices as described in the Privacy Policy.
12.2 Data Security. We implement reasonable security measures to protect your information. However, no system is completely secure, and we cannot guarantee absolute security.
12.3 Your Data. You are responsible for maintaining backups of your Content. While we perform regular backups, you should not rely on the Services as your sole storage location.
13. Disclaimers and Warranties
13.1 Your Warranties. You represent and warrant that:
- You have the legal capacity to enter into this Agreement
- Your registration information is accurate and complete
- You have the right to use all Content you provide
- Your use of the Services complies with applicable laws
13.2 AS-IS Basis. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ERROR-FREE OPERATION.
13.3 No Guarantee. We do not warrant that:
- The Services will be uninterrupted, secure, or error-free
- Defects will be corrected
- The Services will meet your requirements
- The physical Books will exactly match digital previews in every respect
13.4 Printing Disclaimer. Due to the nature of printing, slight variations in color, cutting, and binding may occur. These normal printing tolerances do not constitute a breach of warranty.
14. Limitation of Liability
14.1 Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOSSIA’S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO DOSSIA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR £100, WHICHEVER IS GREATER.
14.2 Excluded Damages. IN NO EVENT SHALL DOSSIA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Lost profits or revenue
- Loss of data or Content
- Loss of business opportunity
- Cost of substitute services
- Emotional distress or reputational harm
EVEN IF DOSSIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.3 Exceptions. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Breach of statutory rights provided to consumers
14.4 Basis of Bargain. You acknowledge that the disclaimers and limitations in this Agreement reflect a reasonable allocation of risk and are fundamental elements of the basis of the bargain between you and Dossia. The Services would not be provided without these limitations.
15. Indemnification
15.1 Your Indemnification. You agree to defend, indemnify, and hold harmless Dossia and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:
- Your Content and designs
- Your use of the Services
- Your breach of this Agreement
- Your violation of any law or third-party rights
- Any claim that your Content infringes third-party intellectual property rights
15.2 Process. Dossia will notify you of any claim subject to indemnification. You will cooperate with Dossia in the defense. Dossia reserves the right to assume exclusive control of the defense at your expense.
16. Term and Termination
16.1 Term. This Agreement begins on the Effective Date and continues until terminated by either party.
16.2 Termination by You. You may terminate this Agreement at any time by:
- Closing your account through account settings
- Ceasing to use the Services
- Contacting us to request account closure
16.3 Termination by Dossia. We may suspend or terminate your access to the Services at any time if:
- You breach this Agreement
- Your account is inactive for an extended period
- We cease offering the Services
- Required by law or legal process
- Your use poses a security risk or harms the Services or other users
16.4 Effect of Termination. Upon termination:
- Your license to use the Services immediately ends
- We may delete your account and Content
- Outstanding payment obligations survive termination
- We will fulfill any Orders placed before termination
- Sections that by their nature should survive will survive, including ownership provisions, disclaimers, limitations of liability, and dispute resolution
16.5 Data Retrieval. After termination, you will have thirty (30) days to retrieve your Content. After this period, we may permanently delete your Content.
17. Dispute Resolution
17.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
17.2 Jurisdiction. You agree that any disputes arising from this Agreement or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer residing in the European Union, you may also bring claims in your country of residence.
17.3 Informal Resolution. Before filing a claim, you agree to contact us at hello@dossia.uk to attempt to resolve the dispute informally. We will work with you in good faith to reach a resolution.
17.4 EU Online Dispute Resolution. If you are a consumer in the European Union, you may access the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
17.5 Class Action Waiver. To the extent permitted by law, all disputes must be brought in an individual capacity and not as part of a class action or collective proceeding.
18. Modifications to Terms
18.1 Right to Modify. We may modify this Agreement from time to time. We will provide notice of material changes by:
- Posting the updated Agreement on our website
- Sending you an email notification
- Displaying a notice when you log into your account
18.2 Effective Date of Changes. Changes become effective:
- For existing users: thirty (30) days after notice is provided
- For new users: immediately upon acceptance
18.3 Continued Use. Your continued use of the Services after the effective date of changes constitutes your acceptance of the modified Agreement.
18.4 Objection to Changes. If you do not agree to the modified Agreement, you must stop using the Services. We will fulfill any pending Orders placed before the changes take effect.
19. General Provisions
19.1 Entire Agreement. This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Dossia regarding the Services and supersedes all prior agreements and understandings.
19.2 Severability. If any provision of this Agreement is found to be invalid or unenforceable, that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect.
19.3 Waiver. Our failure to enforce any provision of this Agreement does not constitute a waiver of that provision or any other provision.
19.4 Assignment. You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement to any successor or acquirer without restriction.
19.5 No Agency. Nothing in this Agreement creates any partnership, joint venture, agency, or employment relationship between you and Dossia.
19.6 Force Majeure. Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
19.7 Export Control. You agree to comply with all applicable export control and sanctions laws.
19.8 Consumer Rights. If you are a consumer, this Agreement does not affect any statutory rights that cannot be waived or limited by contract, including consumer protection laws in your jurisdiction.
19.9 Electronic Communications. By using the Services, you consent to receive electronic communications from us, including emails, notifications, and posted notices. You agree that electronic communications satisfy any legal requirement for written communications.
