Content License Agreement
This Content License Agreement (“Agreement”) governs your use of design components, templates, and other content available through Dossia’s platform. When you use any content provided by Dossia or create content using our Services, you agree to be bound by the terms of this Agreement, along with our Terms of Service and Privacy Policy.
This Agreement is designed to be clear and approachable. We want you to understand exactly what you can and can’t do with the content on our platform.
1. What This Agreement Covers
This Agreement applies to all content you interact with on Dossia, including the design components, templates, and other creative materials we provide, as well as the content you create and share.
1.1 Definitions
To keep things clear, here’s what we mean by key terms:
Components: The design elements, vector graphics, illustrations, icons, and other visual assets we provide in our component library. These help you build beautiful pages without starting from scratch.
Templates: Pre-designed page layouts created by Dossia or other users. Templates contain pre-arranged Components that you can customize for your own books.
Dossia Content: All Components and Templates created by Dossia and made available in the platform. We own the intellectual property rights to Dossia Content.
User Content: The books, pages, designs, and layouts you create using our Editor. This includes your text, custom layouts, and arrangements of Components. You own your User Content.
Public Templates: Templates that users choose to share publicly with the Dossia community. These are created by users like you and made available for others to use.
Physical Books: The printed, manufactured products we create based on your designs and ship to you.
2. Dossia Content License
We provide amazing Components and Templates to help you create beautiful custom books. Here’s what you can and can’t do with Dossia Content.
2.1 License Grant
When you use Dossia, we grant you a personal, non-exclusive, non-transferable, revocable license to use Dossia Content (Components and Templates) solely within the Dossia platform to create your custom books. This license is valid as long as your account remains active and you comply with this Agreement.
2.2 What You Can Do
You’re free to use Dossia Content to:
- Create personal books: Design custom notebooks, planners, diaries, journals, and other stationery products for your personal use
- Arrange and customize: Place Components on pages, resize them, recolor them, and arrange them in your own unique layouts
- Use Templates as starting points: Select Templates and customize them to match your style and needs
- Order physical products: Order printed Physical Books containing Dossia Content for your personal use
- Give as gifts: Gift Physical Books you’ve created to friends and family for personal use
- Create multiple books: Use the same Components and Templates in as many different book designs as you like
2.3 Important Restrictions
To protect our intellectual property and maintain a fair platform for everyone, you may not:
Platform Restrictions
- Download Components separately: You cannot extract, download, or export Components (SVG files or other design elements) for use outside of Dossia
- Use outside Dossia: Dossia Content can only be used within our platform, not in other design tools, software, or applications
- Share or redistribute Components: You cannot share, distribute, resell, or sublicense individual Components or collections of Components
Commercial Restrictions
- No commercial use of Physical Books: Physical Books containing Dossia Content are for personal use only. You cannot:
- Sell or resell Physical Books as products
- Use Physical Books as promotional materials for a business
- Create Physical Books for commercial clients
- Manufacture Physical Books in bulk for distribution (e.g., selling custom planners to customers)
- No competing products: You cannot use Dossia Content to create competing stationery design platforms, template marketplaces, or similar services
Intellectual Property Protection
- No claiming ownership: You cannot claim ownership of or exclusive rights to Dossia Components or Templates
- No trademark use: You cannot use Dossia Content as part of logos, trademarks, or brand identities
- Preserve attribution: Do not remove or alter any copyright notices, watermarks, or proprietary markings on Dossia Content
2.4 What You Own vs. What We Own
It’s important to understand the distinction:
We own: All Components, Dossia-created Templates, and the underlying intellectual property in these design elements. Even when incorporated into your books, we retain all rights to our original Components and Templates.
You own: Your original text, your custom layouts and arrangements, and your creative choices in how you use our Components. You also own the Physical Books we manufacture and deliver to you.
Shared designs: When you create a book using Dossia Components, your book is a derivative work. You own the overall design and can use the Physical Book personally, but the underlying Components remain our property.
3. User-Created Content
3.1 Your Ownership
You retain full ownership of the User Content you create on Dossia. This includes your original text, custom page layouts, design choices, and the overall expression of your books. We claim no ownership over your creative work.
3.2 License You Grant to Dossia
To provide our Services to you, you grant Dossia a limited, non-exclusive, royalty-free license to:
- Store and display your User Content within the platform
- Generate previews and PDF files of your designs
- Manufacture Physical Books based on your designs
- Process and fulfill your orders
- Provide customer support and troubleshoot issues
- Display thumbnail previews of Public Templates you create
This license exists solely to operate the platform and fulfill your orders. We will not use your User Content for any other purpose without your explicit permission.
3.3 Your Responsibilities
When creating User Content, you represent and warrant that:
- You own or have the necessary rights to all content you upload or create
- Your content does not infringe any third party’s copyright, trademark, or other rights
- You have obtained all necessary permissions for any identifiable persons in images
- Your content complies with all applicable laws and regulations
- Your content does not violate the Prohibited Uses outlined in our Terms of Service (Section 6)
4. Public Templates and Community Sharing
One of the things we love about Dossia is the creative community. Users can share their page designs as Public Templates for others to use and remix.
4.1 Creating Public Templates
You can choose to make your page designs available as Public Templates. When you do this, other Dossia users can discover, preview, and use your Template as a starting point for their own books.
4.2 License for Public Templates
When you mark a Template as public, you grant:
To Dossia:
- A worldwide, non-exclusive, royalty-free license to display, distribute, and promote your Public Template within the Dossia platform
- The right to feature your Template in galleries, promotional materials, or recommendations
- The right to create thumbnail previews and screenshots
To Other Dossia Users:
- A non-exclusive license to use your Public Template as a starting point for their personal books
- The right to customize, modify, and adapt your Template for their own use
- The right to create Physical Books based on customized versions of your Template
4.3 Important Limitations on Public Templates
Public Templates can only be used within Dossia. Users cannot:
- Export or download Public Templates for use outside the platform
- Sell or commercially distribute Public Templates
- Claim the Public Template as their own original work
- Remove attribution or creator information from Public Templates
4.4 You Retain Ownership
Making a Template public does not transfer ownership to Dossia or other users. You continue to own your original design. You can remove your Public Template from the community library at any time, though users who have already started using it may continue with their customized versions.
4.5 Components in Public Templates
If your Public Template includes Dossia Components, those Components remain subject to the Dossia Content License (Section 2). Users who use your Public Template receive a license to use those Components only through Dossia and only for personal use.
5. Physical Books: Your Rights
5.1 Ownership of Physical Products
When we manufacture and deliver a Physical Book to you, you own that physical item. It’s yours to keep, use, and enjoy.
5.2 What You Can Do with Physical Books
You have the right to:
- Use your Physical Books for personal purposes (journaling, planning, note-taking, etc.)
- Keep your Physical Books indefinitely
- Gift Physical Books to friends and family for their personal use
- Resell individual Physical Books you no longer want (e.g., secondhand marketplace)
5.3 Restrictions on Physical Books
To protect our intellectual property and business model, you may not:
- Sell Physical Books as products: You cannot order Physical Books in bulk and resell them as commercial products (e.g., operating a planner business using Dossia designs)
- Commercial reproduction: You cannot scan, photocopy, or reproduce Physical Books for commercial distribution
- Extract and reuse designs: You cannot scan or photograph Physical Books to extract Dossia Components for use in other products or platforms
In summary: Personal use and gifting are fine. Commercial use and bulk resale are not permitted.
6. Prohibited Content and Uses
In addition to the restrictions above, you agree not to use Dossia Content or create User Content that:
6.1 Violates Laws or Rights
- Infringes copyright, trademarks, patents, or other intellectual property rights
- Violates privacy rights or publicity rights
- Breaches confidentiality obligations
- Promotes or facilitates illegal activities
6.2 Harmful or Inappropriate Content
- Contains hate speech, discrimination, or promotes violence
- Is defamatory, harassing, or threatening
- Includes adult content or pornography
- Could be harmful to minors
- Depicts graphic violence or disturbing content
6.3 Misrepresentation
- Falsely implies endorsement by or affiliation with Dossia
- Impersonates others or misrepresents your identity
- Creates confusion about the source or origin of content
- Uses Dossia Content in a way that harms our reputation or brand
We reserve the right to refuse to manufacture Physical Books containing prohibited content and to remove Public Templates that violate these terms.
7. Changes to Content and Services
7.1 Updates to Content
We may:
- Add new Components and Templates to the platform
- Update, modify, or remove existing Components and Templates
- Discontinue certain design elements
- Replace Components with alternative versions
7.2 Your Existing Designs
If we remove or modify a Component you’ve already used in your saved designs, your existing book designs will not be affected. However, the Component may no longer be available for new designs.
7.3 Public Template Moderation
We reserve the right to remove or hide Public Templates that violate this Agreement, our Terms of Service, or that we determine are inappropriate for the community. We will make reasonable efforts to notify template creators before removal.
8. Termination and License Expiration
8.1 Termination by You
You may stop using Dossia Content at any time by closing your account. Upon termination, your license to use Dossia Content ends immediately.
8.2 Termination by Dossia
We may terminate your license to use Dossia Content if you violate this Agreement or our Terms of Service. If your account is suspended or terminated for violations:
- You immediately lose all rights to use Dossia Content
- You must stop creating new designs using Dossia Components or Templates
- We may refuse to fulfill pending orders
- You may lose access to your saved designs and User Content
8.3 Your Physical Books Remain Yours
Even if your account is terminated, you retain ownership of Physical Books that have already been manufactured and delivered to you. However, you cannot order new Physical Books after termination.
8.4 Survival
The following provisions survive termination: ownership rights (Section 2.4), licenses you granted to Dossia (Section 3.2), licenses you granted for Public Templates (Section 4.2), restrictions on use (Sections 2.3, 5.3, 6), and disclaimers and limitations (Sections 9-10).
9. Disclaimers and Warranties
9.1 Content Availability
Dossia Content is provided “as is” and “as available.” We do not guarantee that:
- Specific Components or Templates will always be available
- Content will be error-free or meet your specific needs
- Content will be compatible with all uses or designs
- The platform will be uninterrupted or free of technical issues
9.2 No Warranty of Rights
While we make reasonable efforts to ensure that Dossia Content does not infringe third-party rights, we do not provide any warranty or guarantee regarding intellectual property clearance.
9.3 User Content Disclaimer
Dossia is not responsible for User Content or Public Templates created by users. We do not endorse, verify, or guarantee the quality, accuracy, or legality of user-created content. Use Public Templates at your own discretion.
9.4 Printing Variations
Physical Books may have slight variations from digital previews due to printing processes, color calibration differences, paper texture, and normal manufacturing tolerances. These variations do not constitute a breach of this Agreement.
10. Limitation of Liability
10.1 No Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOSSIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF DOSSIA CONTENT, INCLUDING:
- Loss of profits or business opportunities
- Loss of User Content or designs
- Inability to complete or manufacture books
- Removal or unavailability of Components or Templates
- Reliance on Dossia Content for commercial purposes
10.2 Liability Cap
Our total liability to you for any claims related to this Agreement shall not exceed the amount you paid to Dossia in the twelve (12) months preceding the event giving rise to liability, or £100, whichever is greater.
10.3 Exceptions
Nothing in this Agreement excludes or limits liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
11. Indemnification
You agree to defend, indemnify, and hold harmless Dossia from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your User Content or Public Templates
- Your violation of this Agreement
- Your infringement of third-party intellectual property rights
- Your commercial use of Physical Books in violation of this Agreement
- Your misuse of Dossia Content
12. Changes to This Agreement
12.1 Right to Modify
We may update this Content License Agreement from time to time. We will notify you of material changes by email, through a notice on our website, or when you log into your account.
12.2 Effective Date
Changes become effective thirty (30) days after we provide notice. Your continued use of Dossia Content after changes take effect constitutes acceptance of the modified Agreement.
12.3 Disagreement
If you do not agree to the changes, you must stop using Dossia Content and may close your account. We will fulfill any pending orders placed before the changes take effect.
13. General Provisions
13.1 Relationship to Terms of Service
This Agreement supplements our Terms of Service. In the event of any conflict between this Agreement and the Terms of Service regarding content licensing, this Agreement shall control.
13.2 Governing Law
This Agreement is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales (or your country of residence if you’re a consumer in the EU).
13.3 Severability
If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13.4 Entire Agreement
This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Dossia regarding your use of Dossia Content.
